Minutes of Mid-year Meeting
November 1, 2008

Call to Order.

The Mid-year Meeting of the West Beach Road Association (WBRA) was held on November 1, 2008, at Whidbey General Hospital (Board Room), Coupeville, Washington. The meeting was called to order by President Rudy Deck at 12:10 p.m.

Number required for a quorum: 12 members. Total number present: 14 members.

Reading of the Minutes of the 2007 Midyear Meeting

The meeting was called to order by President Rudy Deck at 12:05 p.m. Robert Elphick moved the minutes of the previous meeting be accepted as posted on the website; motion seconded, passed unanimously..

President's Report: (Rudy Deck)

The question of ownership of the property at 1004 North Seacliff property has yet to be determined legally. In the future to insure notifications are directed and received by all interested and concerned parties, all owners of record will be notified including Darst Bulb Farm, Earl & Lee Darst and Vivian Darst. As of October 29th, Vivian Darst has paid a portion of the back dues and assessments in the amount of one third of the amount. All three of the aforementioned parties were notified of the meeting today.

Treasurer's Report: (Belinda Hawkins)

A copy of the Financial Report is attached as part of the official record of the proceedings.

  • Report reflects annual dues are higher than projected as a result of Vivian Darst paying approximately one-third of past dues and assessments
  • Water Fees shows a balance of $5200; a couple of members have not paid the fees as of October 29th; water expenditures were $6500 which is less than previous years; account balance is $2600.
  • Road Assessment monies are in a 9 month CD
  • Expenditure of $250 to Dale Roundy for legal fees was noted.

A motion was made by Belinda Hawkins, second by Bill Van Zyteld, to continue the WBRA dues at $50 per year for 2009. Motion passed.

Water Manager's Report: (Jim Alley)

Water system is functioning appropriately. Roof repairs on the pump house and painting the building are being accomplished. There is a need to educate other members in the Association as to what to do when the power goes out. The water system has been upgraded so that when the power is out, the new generator can power one smaller pump. The water system functions as an emergency system therefore members should be careful about water usage during these times. Under emergency circumstances the system is using water from the reservoir and must build itself back up overnight.

Road Manager's Report:

As of September 2008, a new estimate for paving the road was received from Lakeside Industry in the amount of $51,000. At the next annual meeting of the Association it will be necessary to decide what should be done as the present assessment ends January 2009. Unfortunately because of steeply rising asphalt costs and availability, we will have only collected about half of that amount needed when our 5 year Road Assessment authority expires in early 2009.

In regard to the paving of the section of the road presently graveled, the estimated paving cost is $3.00 per square foot. WBRA is chartered to maintain the road not improve, therefore, this portion of paving would fall to the landowners at the end of the road.

Architectural Control Committee:

No report was given.

New Business

The following proposed changes to the Articles of Incorporation were discussed by Bill Hawkins and voted on by the membership present:

Article 15 Restriction on use of property. Change would allow a third building on property not to exceed 120 square feet and screened by vegetation to insure minimal visible pollution. Motion passed.

Article 12, Section 3 change would keep language consistent - taking out the word fee and using the word assessment. Further, under Washington State Law wording should say compound interest rather than simple. Motion passed. One opposed.

Article 3, Membership. The change places the responsibility of notifying the Association secretary of any and all changes in the ownership of property located in the West Beach Road Association as well as any change of address of present owners. Motion passed, one opposed

It was noted changes to the purposes are not to expand authority but to reflect the reality that we also specify standards that govern property development and maintenance (CC&R's Article XV). However, it was noted there must be a 2/3 vote of the membership in order to change the purposes of the association.

As there was not a quorum of the entire membership present to vote on a change in the purposes of the Association By-Laws the meeting was left open until the President could contact absent members about their vote on the purposed changes. The President reported contacting Cindy and Bob Bush as well as Loretta, Bill and Miles Hamburg securing two affirmative votes thus meeting the majority rule for changes to the purposes of the Association. Changed By-Laws will be posted on the website.

Adjournment:

The meeting was officially adjourned at 9:00 p.m. on November 8, 2008.
