Minutes of the Special Meeting
September 3, 2013 7:00PM-8:30 PM

Quorum 16; 12/23 is required.

Business:

This Special Meeting was called to consider two proposals.

Road Manager's Report on the road paving project:

Recommended to proceed with repaving the paved portions of Seacliff and Deseret Roads by Krieg Construction for total cost of $57,067.00, to be completed this Fall. See Bid. The payment plan is to pay $ 50,315.00 (current amount in the Road Budget) upon completion of the construction, with the remainder to be paid in February of 2014 and 2015 after collection of the yearly road assessments. Interest of 5% would be about $275. See Bid. The Road Committee and the Board of Directors each unanimously recommended adoption of this proposal.

Discussion:

Top Sealing was discussed, with a general conclusion that it is not needed on a road surface with light traffic. It is not part of the bid. Robert read the details of the Krieg Construction bid. The thickness of the surface would be about 2 ½ to 3 inches.

Gabrielle and Bill Thurman voiced concerns about drainage problems that became apparent starting in January 2013, after the ditch drainage diversion into Judy Graham’s over -the- bluff drainage system failed. Jim Krieg told Road Committee Members that brief intervals of standing water does not harm road surfaces. Robert informed members about the properties of standing water and lateral flows of water through the layers of soils ,rocks and oil-based asphalt. Various possible solutions were discussed, including dry wells. Gabrielle expressed concern about WBRA liability if surface flooding causes an accident. Several members questioned whether WBRA is responsible for drainage since it is not specifically mentioned in the CC&Rs, but many agreed that WBRA has in fact been dealing with drainage issues since the road was built and since the December 1998 agreement was entered into with Captain Graham. The CC&Rs could be amended to include the duty to address drainage issues.

Jim Patton made a motion, seconded by Kaaren McElroy, that the President authorize the formation of an ad hoc group to study the drainage problem and present a report at the annual meeting in November, 2013. The motion was passed unanimously. Jim Patton, Gabrielle Thurman and Robert Elphick volunteered to be on the Drainage Committee.

Gabrielle wanted to propose a motion to fund gravel maintenance, but since this is a special meeting, she will wait until the Annual Meeting to bring it forward. Bill Thurman reviewed with the members a proposal to split between a gravel consortium and WBRA the cost of paving the gravel portion at the end of Seacliff. Discussion followed about the mission of WBRA to maintain, but not improve the road and that maintaining a paved road is more expensive than maintaining a gravel surface.

The President expressed WBRA’s duty to maintain the gravel roads and relayed a decision by the Board to assess the American Way homeowners a fair amount as their share of road maintenance costs. A recent Washington State Appellate Court decision upheld homeowner associations’ rights to collect fees from non- association neighbors who use association roads.

Jim Patton motioned and Robert Elphick seconded that WBRA members approve the road paving contract as proposed. Motion passed, 12 yes, 1 no, 1 declared abstention.

Pump House Generator proposal

Discussion:

WBRA wants to be as self-sufficient as possible in the event of a natural disaster, to be able to pump well water until electricity is restored. Currently our gas powered generator is 5KW capacity, able to pump water from the water tank only. Jim Alley has already purchased a 10KW slightly used (10-20 hours) gasoline generator for $1100 (new cost $2600). He and the WBRA Board recommend that WBRA purchase this second generator to enable water to be pumped from the well-head below the surface in the event of electric power failure in order to replenish the tank. Currently 10 gallons of gasoline is kept on hand. In the event of a disaster, WBRA members may be asked to donate gasoline to run the generators. Jim Patton said that after about one week of no power, Island County claims to be able to supply gasoline for the purpose of running well water generators.

Robert Elphick motioned, Jim Patton seconded, that WBRA members approve the purchase of the 10KW generator as proposed and the cost of hiring an electrician to install/connect the wiring. Motion passed, 15 yes, 1 no.

Other business:

A nominating committee needs to be formed to solicit candidates for the position of Secretary 60 days in advance of the Annual Meeting which should be held in late November.
